A WORD FROM OUR CEO

In 2018, Nepa successfully executed on our strategy towards increased scalability, profitability and expansion resulting in a 16 percent increase in gross profit (compared to 15 percent in 2017). At the same time, we have increased our profitability and improved EBIT by SEK 7 million since 2017 (to SEK -13 million).

We have taken several important steps that bring us in the right direction towards increased profitability:

1) Home market Sweden – profitable growth
Nepa has furthered our market-leading position in Sweden thanks to strong sales figures for our subscription-based CX and Marketing Optimization products. Our products continue to be well positioned as our clients recognize the importance of developing brand strength in a world where consumers purchase goods and services by a click of a button. This has resulted in increased demand for our subscription-based products within both Marketing Optimization and Customer Experience, which in turn has increased our already strong net margins.

2) Established markets UK and Finland – fast, profitable growth
2018 was a breakthrough year for Nepa’s UK business – turning its first annual profit and increasing gross profit 127 percent compared to 2017. Our investments in this market have created a world class Path-to-Purchase solution that is driving significant global demand. Likewise, Finland has continued to grow and substantially increase profitability thanks to the sales of our subscription-based Marketing Optimization products. We are expecting that both profitability and growth will continue in 2019.

3) Investment market USA rapid growth market entry, investment phase

During 2018 we have invested heavily in our US expansion by establishing our sales and marketing team in the US. We have a great team in place and have created the right conditions to be able to break through in the US market. Our vertical focus on gaming and sports has led to work with clients such as Psyonix, Louisville City Football Club and Forward Madison F.C.. We now have US clients in all product areas.

General uncertainty on the international markets affected our clients’ investment sentiment negatively in Q4 2018, which in turn affected our project-based sales in what is typically the strongest quarter for project-based sales. Our group gross profit increased by 5.4 percent during the quarter and at the same time gross profit from project based decreased by 20 percent. We have since witnessed demand return to historical levels.

Our profitability improvement in 2018 is the result of a long-term focus on increased scalability. In 2018 the relationship between our gross profit growth and increase in personnel costs has improved substantially. Gross profit increased by 16 percent while personnel costs increased by 8 percent. This is an improvement from 2017 when gross profit grew by 15 percent while personnel costs increased by 31 percent.

Finally, I would like to take the opportunity to welcome all shareholders who participated in the rights issue that completed on December 12, 2018. We are entering 2019 in a strong financial position to continue our focus on growth, scalability and profitability. I look forward to bringing Nepa to the next level during 2019.

Fredrik Östgren

VÄSENTLIGA HÄNDELSER

UNDER PERIODEN

KONCERNEN

VERKSAMHETEN

VISION

”We change the way decisions are made”.

Press release

Stockholm, 12 December 2018

Nepa has carried out a directed share issue of 714,835 shares, raising proceeds of SEK 39.3 million

Nepa AB (publ) (”Nepa” or the ”Company”) has, based on the authorization granted by the annual general meeting on 31 May 2018, resolved to carry out a directed share issue of 714,835 shares at a subscription price of SEK 55 per share in cash. The subscription price has been established by the Company’s board of directors, in collaboration with Handelsbanken Capital Markets, based on the considered interest to invest shown by institutional investors and the board of directors’ therefore assess that the subscription price is in accordance with market conditions. The Company will receive proceeds of SEK 39.3 million before transaction cost for the directed share issue.

Subscribers in the directed share issue are the institutional investors AMF Fonder, Elementa, Enter Fonder AB, Grenspecialisten Förvaltning AB, Handelsbanken Fonder AB, Humle Småbolagsfond and Swedbank Robur Fonder.

The reasons for the deviation from the shareholders’ preferential rights is to diversify the shareholder base among institutional investors and at the same time carry out the capital raising in a time and cost-effective manner. The directed share issue increases the Company’s financial flexibility and the proceeds will primarily be used to finance the Company’s continued growth efforts with focus on the ongoing growth initiatives in the United States and the United Kingdom. Nepa has had a strong momentum in the UK market during the first three quarters of 2018 with a gross profit growth of 172 percent and today the Company is profitable in this market. The Company’s platform and product offering have been adapted to the US market and Nepa now intends to focus on further growth in the United States through investments within marketing and sales aimed at strengthening the Company’s brand and position in this market.

As a result of the directed share issue, the number of shares and votes in the Company will increase with 714,835 from 7,148,351 to 7,863,186. The share capital will increase with SEK 142,967.00 from SEK 1,429,670.20 to SEK 1,572,637.20. The directed share issue entails a dilution effect for existing shareholders of approximately 9.1 percent based on the total number of shares and votes in Nepa after the directed share issue.

In order to facilitate the delivery of shares in the directed share issue, the Company’s main owner, Ulrich Boyer, will lend 714,835 shares to Handelsbanken Capital Markets. The lent shares will be returned after the directed share issue has been registered with the Swedish Companies Registration Office.

In connection with the directed share issue, the Company has agreed with Handelsbanken Capital Markets not to issue additional shares during a period of 180 days. Certain customary exemptions under the agreement apply after consultation with Handelsbanken Capital Markets. In addition, Ulrich Boyer, Fredrik Östgren, P-O Westerlund, Niclas Öhman and Hans Skruvfors has agreed not to sell their respective shareholdings during a lock-up period of 180 days.

Handelsbanken Capital Markets has been appointed as Sole Lead Manager and Bookrunner and Advokatfirman Lindahl acts as legal advisor in the directed share issue.

Pressmeddelande

Stockholm, 12 december 2018

A WORD FROM OUR CEO

I am very proud of Nepa’s third quarter results – we have posted continued strong growth while executing on our strategy of scalability, profitability and expansion. In the third quarter, gross profit grew by 24.5 percent. This takes our 2018 YTD gross profit growth to 20.3 percent – a substantial increase from 14.3 percent in the same period in the previous year (Q1-Q3 2017). EBIT was MSEK -3.4 in the third quarter, an improvement by MSEK 5.2 compared to the same quarter in 2017.

Our larger markets can be divided into three segments:

1.    Home market: Sweden – Continued profitable growth
Sweden’s success has been fuelled by our Customer Experience product suite, we have won multiple new clients such as Plantagen and Dressmann. Since the launch of CX Tracker in March the Swedish market continues to demonstrate high demand for this product.  We are expecting rapid growth that will further strengthen our net margins.
2.    Established markets: Finland and UK – fast, profitable growth
In the UK, the third quarter was especially strong posting 2018 YTD gross profit growth of 172 percent compared to the same period last year. This is a milestone for Nepa that proves our international competitiveness.  Since late 2016 the UK management team and consumer packaged goods focus has accelerated growth and the UK business has become profitable. In the third quarter, Liz Earle, a global skincare manufacturer become a Nepa client.
3.    Investment market: USA – rapid growth market entry, investment phase
In the third quarter we launched Nepa’s Customer Experience offer tailored towards sports companies. It has been very well received and created a strong pipeline in the USA and globally. Expansion of existing client relationships has contributed to rapid growth in the US business.

Nepa’s long term focus on increasing product scalability has resulted in positive effects on profitability. The relationship between personnel costs and growth during the past 15 months illustrates this. Gross profit increased by 24.5 percent in the third quarter while personnel costs grew by 6.6 percent, so our net margin continues to grow.

  • Nepas nya produkt CX Tracker attraherar flera nya kunder, bland andra Plantagen.

Våra större marknader kan delas in i tre segment:

Using Nepa’s strategic pricing tool, the skincare company implemented price changes in multiple categories and increased profitability.

”Nepa’s team provided an actionable solution which proved to have a high predictive accuracy. 12 months after implementing price changes in 7 categories, we have increased profit £1,200,000 in the first year. We are very happy with these results that are testament to our focus on the consumer and being a data-driven organization.” Rian Edward, Liz Earle Representative
